Descriptions
To ensure all credit facilities are supported with complete, accurate, valid, and enforceable legal documentation that protects the bank’s interests, complies with regulatory requirements, and enables timely disbursement of loans.
Responsibilities
Legal Documentation Preparation & Review
- Prepare, review, and validate loan and security documentation for all credit facilities (SME, corporate, retail, digital lending, agriculture, trade finance, etc.).
- Ensure that all documentation complies with internal credit policies, BOT regulations, and applicable legal frameworks.
- Confirm that facility terms and conditions approved by the Credit Committee / approving authority are correctly incorporated into the documentation.
Collateral Perfection & Compliance
- Facilitate proper perfection of securities including mortgages, debentures, guarantees, charges, liens, and assignments.
- Coordinate with external lawyers for documentation, stamping, registration with relevant authorities (e.g., RITA, Land Registry, BRELA), and search reports.
- Verify the authenticity and completeness of collateral documents.
- Track and ensure timely renewal of expiring securities, insurance, and facility agreements.
Disbursement Readiness
- Certify that all pre-disbursement conditions are fully met and documented.
- Provide clearance for loan disbursement once all legal and compliance requirements are validated.
- Maintain updated checklists and compliance tracking tools for documentation completion.
Records Management & Reporting
- Maintain an organized documentation repository (physical and electronic).
- Ensure accurate updating of documentation status in the bank’s credit systems.
- Prepare periodic reports on documentation status, pending items, turnaround time, and legal risks.
Risk, Governance & Internal Controls
- Identify documentation gaps that expose the bank to legal or credit risks and recommend mitigations.
- Ensure adherence to BOT regulatory requirements, internal legal standards, and audit recommendations.
- Support internal and external audits by providing necessary documentation and clarification.
- Participate in policy review and process improvement for credit documentation.
Cross-Functional Engagement
- Work with Relationship Managers, Credit Underwriting, Legal Counsel, Risk & Compliance, Valuers, and External Lawyers to resolve documentation issues.
- Provide guidance to business units on acceptable securities, required documents, and legal terms.
Key Performance Indicators (KPIs)
- Turnaround time for legal documentation processing.
- Accuracy and completeness of credit documentation.
- Number of documentation errors/queries from auditors or credit reviewers.
- Percentage of fully perfected securities before disbursement.
- Compliance with BOT regulations and internal credit policies.
- Reduction in exceptions related to collateral and loan documentation.
Requirements
Qualifications & Experience
- Bachelor’s degree in law (LL.B).
- Minimum 1–3 years of experience in banking legal documentation, credit operations, or commercial law practice.
- Good knowledge of banking regulations, BOT prudential guidelines, land laws, contract law, securities perfection laws, and company law.

- Proficiency in drafting and reviewing legal agreements.
- Strong knowledge of collateral types and perfection procedures.
- Familiarity with documentation workflows, stamping, and registration requirements.
