Job Purpose

To provide corporate governance, company secretarial, legal, and regulatory support to the Company by ensuring compliance with applicable laws, regulatory requirements, and governance best practices while facilitating effective Board and Management operations.

Key Responsibilities

  • Coordinate Board, Committee, and shareholder meetings, including preparation of agendas, papers, minutes, and resolutions.
  • Maintain statutory registers, corporate records, and governance documentation.
  • Monitor implementation of Board and Committee resolutions.
  • Draft, review, and maintain contracts, agreements, and other legal documents.
  • Coordinate statutory and regulatory filings and liaise with regulators and external legal counsel.
  • Monitor legal and regulatory developments and support compliance initiatives.
  • Maintain the Company’s contract register, policy register, and governance calendar.
  • Provide legal research and administrative support on corporate and commercial matters.
  • Support Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), and other corporate governance activities.
  • Ensure proper custody, confidentiality, and management of corporate records.
  • Perform any other duties assigned by Management.

Qualifications & Experience

  • Bachelor’s degree in law (LL. B) or a related field.
  • Professional qualification in Company Secretarial Practice or Legal Practice is required.
  • Minimum of three (3) years’ relevant experience in corporate governance, company secretarial, legal, or compliance functions.
  • Experience in the financial services sector or other regulated industries is an added advantage.

  • Up-to-date statutory registers, governance records, and contract register.
  • Timely implementation tracking of Board resolutions.
  • Effective coordination of governance and legal matters with no material compliance breaches attributable to the role.
