Board membership position
DCB is a fully-fledged retail and commercial bank in Tanzania, offering banking services to individuals, small to medium-sized businesses, as well as large corporate clients. The bank has a network of branches, Wakala agents, and ATMs serving over 3 million customers across the country. It was listed on the Dar es Salaam Stock Exchange in 2008.
DCB is seeking a dynamic and visionary leader to join the Board as a Non-Executive Director.
Key duties and responsibilities
The specific responsibilities of the Non-Executive Director include:
- Providing effective leadership in collaboration with the management team
- Facilitating the setup of appropriate corporate governance structures for managing the bank’s operations
- Reviewing and approving the bank’s strategy, organizational plans, annual budget, and significant expenditures proposed by management
- Ensuring key strategic risks are identified and managed, and that internal controls are effectively implemented to mitigate operational risks
- Monitoring corporate performance against strategic and tactical plans, including overseeing operating results on a regular basis
- Reviewing and approving material transactions not in the ordinary course of business
- Reporting annually to shareholders as required by DCB’s Memorandum and Articles of Association, and regularly seeking shareholder decisions on matters requiring approval at general meetings
- Selecting, monitoring, evaluating performance, and compensating the Managing Director, Internal Auditor, and other executive management roles
- Ensuring ethical behavior and compliance with laws, regulations, auditing and accounting principles, and the company’s governing documents
- Assessing performance in fulfilling Board responsibilities
- Performing additional functions as prescribed by laws governing banking operations, including those of the Bank of Tanzania and the Capital Markets and Securities Authority
Person specifications
Applicants must meet the following criteria:
- A bachelor’s degree in banking and finance, economics, audit, business development, law, human resources, or a related field (postgraduate qualification is an added advantage)
- At least 10 years’ experience as a director of a medium to large-sized business with proven ability to transform organizations
- More than 3 years’ experience as a board member or board committee member (experience with a listed company is an added advantage)
- Strong understanding of financial management, regulatory compliance, board management, and commercial/investment acumen (banking experience is an added advantage)
- Demonstrated ability to build and maintain beneficial relationships for the organization
- Must not be a current member of management or board of a financial institution or any institution whose registration/license has been revoked, canceled, or is under liquidation
- No criminal record
- No history of bankruptcy
- Clean credit record, including that of related parties
- Availability and flexibility to attend meetings and support activities aligned with business growth
