Job Purpose:

Responsible in driving the company's inorganic growth strategy by overseeing the entire deal lifecycle and drive value through acquisitions, investments, divestitures, and strategic partnerships, supporting NMB's growth and innovation goals.

Main Responsibilities:

  • Engage with NMB's business leaders to develop the Mergers and Acquisitions (M&A) strategy, identify and assess potential inorganic growth opportunities.
  • Drive end-to-end transaction management from scanning potential targets and conducting due diligence to managing valuation, negotiations, and integration planning ensuring value creation, strategic fit, and risk mitigation.
  • Collaborate with business and functional leaders, as well as external partners, to deliver impactful results
  • Build relationships with investment banks, brokers, and advisors to access deal flow.
  • Maintain a live pipeline of potential deal opportunities and track progress by screening potential acquisition or partnership targets through market intelligence, industry research, and professional networks.
  • Lead and coordinate financial, legal, operational, and commercial due diligence processes.
  • Act as main liaison with internal and external advisors (Lawyers, accountants, consultants etc.)
  • Identify risks and red flags and ensure findings are integrated into deal models and decision making.
  • Build and maintain complex financial models (DCF, LBO, Comparables, and Precedent transactions).
  • Assess valuation of target companies and their strategic fit.
  • Conduct scenario analysis and sensitivity testing to pressure test value generating assumptions and mechanics.
  • Provide regular reporting and insights to the executive leadership on progress, strategic implications & trade-offs, and drive executive decision-making.
  • Collaborate with internal teams (finance, risk, legal & compliance) and external advisors (investment advisors, consultants, and lawyers) to ensure smooth deal execution.
  • Partner with business and functional Heads to design and monitor post-merger integration plans to ensure realization of strategic and financial objectives.
  • Participate in negotiations on deal terms, structure, and purchase agreements.
  • Support the preparation of investment memos and presentations to management for decision making and guidance.
  • Assist in defining and structuring key terms such as earn-outs, equity rollovers, and warranties.
  • Track performance of acquired entities and report on integration milestones and synergies capture.
  • Monitor market trends, competitive activity, and regulatory developments to proactively identify emerging opportunities or risks.
  • Support the Director of Strategy & Growth in developing and maintaining the Bank's M&A pipeline in line with strategic priorities, growth targets, and market opportunities.

Knowledge and Skills:

  • Advanced financial modeling and valuation skills, with the ability to analyze complex transactions and present clear recommendations
  • Strategic thinker with the ability to connect market insights to corporate growth objectives
  • Ability to manage complex transactions efficiently with demonstrated track record in deal execution
  • Ability to manage multiple projects simultaneously and thrive in a fast-paced, dynamic environment.
  • Demonstrate strong interpersonal, verbal and written communication skills
  • Excellent communication and presentation abilities, capable of building compelling narratives for senior executives.
  • Strong relationship management skills, with experience engaging both internal stakeholders and external partners.
  • Collaborative mindset with a focus on driving results and supporting team success.

Qualifications and Experience:

  • Bachelor's degree in Finance, Accounts, Economics, Statistics, Actuarial Science, Computer Science or related fields.
  • Professional qualifications such as CPA, ACCA or CFA will be an added advantage.
  • Master's degree in business studies will be an added advantage
  • Minimum 5 years' experience in Finance, Strategy or Analytics role within financial services or a large corporate with leadership experience in medium to large organizations.
